1. SERVICE DESCRIPTION
1.1 Available Service Packages
We offer three service packages:
Complete Business Team Sprint - $1,997 USD
- Two (2) Virtual Assistants assigned to your project
- Lead Generation VA: 40 hours over 10 business days
- Content Creation VA: 40 hours over 10 business days
- Strategic Team Kick-Off Call (approximately 60-90 minutes)
- Custom cold outreach email sequence (written collaboratively with you)
- Social media content strategy session
- Daily progress updates via email
- Final delivery of all work
- Exclusive bonus materials (valued at $491)
Lead Generation Team - $1,297 USD
- One (1) Lead Generation Virtual Assistant: 40 hours over 10 business days
- Research and collection of 400+ qualified business prospects
- Setup of dedicated outreach email account (with your assistance)
- Execution of initial cold outreach campaign (one initial email + one follow-up email)
- Strategic Team Kick-Off Call
- Custom cold outreach email sequence (written collaboratively with you)
- Lead tracking system setup
- Daily progress updates via email
- Final delivery of complete lead list with outreach results
Content Creation Team - $1,097 USD
- One (1) Content Creation Virtual Assistant: 40 hours over 10 business days
- Creation of 30 pieces of branded social media content (copy + graphics)
- Strategic Team Kick-Off Call
- Social media content strategy session
- Content calendar with posting schedule
- Daily progress updates via email
- Final delivery of all content files
1.2 Service Timeline
All services are delivered over ten (10) business days, beginning on the date of the Team Kick-Off Call. Business days are Monday through Friday, excluding public holidays in New Zealand.
2. CLIENT RESPONSIBILITIES
2.1 Required Participation
To receive the Service, you must:
- Attend the scheduled Team Kick-Off Call (60-90 minutes)
- Respond to project-related emails within 24-48 business hours
- Provide necessary information including:
- Clear description of your ideal client/target audience
- Your business offer/services
- Brand assets (logo, colors, existing content) if applicable
- Access to dedicated outreach email account (for Lead Generation services)
- Review daily progress updates
- Provide timely feedback when requested
- Approve final deliverables within 3 business days of delivery
2.2 Technical RequirementsYou must have:
- Active email account
- Basic working knowledge of: Gmail, Google Drive, and Google Sheets
- For Content Creation services: Access to Canva (free account is sufficient) or willingness to download content files
- Ability to attend video calls via Google Meet or similar platform
- Reliable internet connection
2.3 Dedicated Email Setup (Lead Generation Services Only)For Lead Generation services, you agree to:
- Create a dedicated email address specifically for outreach purposes (e.g., va@yourbusiness.com, assistant@yourbusiness.com, partnerships@yourbusiness.com)
- Provide login credentials for this dedicated email to your assigned Virtual Assistant
- This email must be separate from your primary personal or business email
- Monitor this email inbox daily during and after the 10-day Service period
- Take over all conversations with prospects who respond
Important: We will never ask for access to your primary email account. Only the dedicated outreach email will be accessed by your VA.
3. CONTENT CREATION TERMS
3.1 Content Source Materials
For Content Creation services, content will be created based on:
- Written copy/content ideas you provide to us, OR
- Repurposing and adaptation of your existing content (previous social media posts, blog posts, website copy, etc.), OR
- Content ideation based on competitor analysis and industry best practices in your niche
All content created for you is custom and original work tailored to your brand and business. While we may use design frameworks, templates, and proven content structures as starting points, the final deliverables are customized specifically for you and incorporate your unique brand elements, messaging, and strategy.
Originality Disclaimer:
- Written copy (captions, hooks, CTAs) is original content created by our team based on your input and strategy
- Visual designs are created using licensed design elements assembled into unique compositions for your brand
- We do not guarantee that similar design styles, layouts, or content themes have never been used elsewhere, as design trends and content frameworks are widely shared across industries
- We warrant that we do not knowingly copy or plagiarize content from other specific businesses
3.2 Revisions & AmendmentsTo ensure timely delivery and prevent scope creep:
- You may request up to three (3) revisions to content during the 10-day Service period
- Revisions must be reasonable adjustments to existing content (e.g., changing wording, adjusting design elements, correcting errors)
- Creating entirely new content to replace rejected content is not considered a revision and may not be accommodated within the Service scope
- We reserve the right to determine whether a requested change constitutes a revision or new content creation
- Excessive revision requests that significantly delay the project may result in extended delivery timelines
3.3 Content Approval You are responsible for reviewing and approving all content before publishing it. We create content based on the strategy and information you provide, but you have final approval and responsibility for what is posted to your social media accounts.
3.4 Design Tools and Asset Licensing
Content is created using professional design tools including Canva Pro, stock photo libraries, and other licensed resources. All final deliverables comply with applicable licensing terms and are provided in formats that allow you to use them freely for your business purposes.
File Formats Provided:
- Final content is delivered as flattened image files (PNG/JPG) or PDFs suitable for posting to social media and other marketing channels
- Editable source files (such as Canva template links) are not included unless specifically agreed upon
- If you require editable files, additional licensing fees or upgraded design tool subscriptions may be necessary
Third-Party Assets:
- Graphics, icons, photos, and design elements used in your content are sourced from properly licensed resources
- You receive the right to use the final composed designs, but individual design elements (such as stock photos or graphics) remain subject to their original licenses
- You may not extract individual elements from delivered designs for use in other projects outside the scope of the delivered content
Your Responsibility:
- You are responsible for posting and managing content we create
- You agree to use content only for your own business marketing purposes
- You may not resell, redistribute, or license the content designs to third parties
4. LEAD GENERATION & OUTREACH TERMS
4.1 Outreach Scope
For Lead Generation services, our outreach activities include:
- Research and identification of qualified business prospects who match your ideal client criteria
- Collection of contact information (name, email, company, platform, reason they're a fit)
- Sending of initial cold outreach emails to prospects
- Sending of one follow-up email to non-responders (sent 5-7 days after initial email)
- Tracking of all outreach and responses
4.2 Outreach Limitations- We send a maximum of TWO emails per prospect (one initial + one follow-up)
- We do not send additional emails beyond the follow-up
- We do not guarantee any specific response rate, number of replies, or number of booked calls
- Outreach is conducted in compliance with applicable laws and platform guidelines during our 10-day Service period
4.3 Post-Service Use of Leads After the 10-day Service period:
- You own the complete lead list and all contact information
- You may continue outreach to leads on your own
- You may NOT use the same lead list for unrelated marketing campaigns or sell/share the list with third parties
- You are solely responsible for any outreach you conduct after the Service period ends
- You must comply with all applicable anti-spam laws and platform terms of service in your ongoing outreach activities
- We have no control over, and accept no responsibility for, how you use the delivered leads and materials after the Service period
5. OUR RESPONSIBILITIES
5.1 Quality & Oversight
We commit to:
- Providing certified, vetted Virtual Assistants who have completed our in-house training.
- Managing all VA work including attendance verification, productivity monitoring, and quality control
- Conducting daily oversight of all project activities
- Ensuring timely delivery of agreed-upon work
5.2 Deliverables Guarantee We guarantee delivery of:
- Up to 400 qualified business prospects with complete information (for Lead Generation services)
- Up to 30 pieces of branded content including copy and graphics (for Content Creation services)
- All strategic materials developed during the Kick-Off Call
If deliverables are not completed within 10 business days due to VA performance issues (not due to your delays or non-responsiveness), we will extend the Service at no additional cost until the work is complete.
5.3 VA Management
We handle all aspects of VA management including:
- VA assignment and scheduling
- Training and guidance
- Attendance and time tracking verification
- Quality control and issue resolution
- VA payment (you have no financial relationship with the VAs)
6. PAYMENT TERMS
6.1 Pricing
Service fees are as stated at time of purchase and are in United States Dollars (USD) unless otherwise specified.
6.2 Payment Options
All payments are processed via credit card and are due in full at time of booking. Service begins immediately upon payment and kick-off call scheduling.
Depending on your credit card provider, you may have the option to pay in installments (e.g., 3, 6, or 12 monthly payments) subject to your card's terms and conditions. Please check with your card issuer for availability and terms.
6.3 Payment Processing
All payments are processed securely through Stripe. We do not store your credit card information.
7. CANCELLATION & REFUND POLICY
7.1 Cancellation Before Team Kick-Off Call
You may cancel your booking at any time before your scheduled Team Kick-Off Call for a full refund (100%).
To cancel, email us at support@theprofitsequence.com with your order number and cancellation request.
7.2 No Refunds After Team Kick-Off Call
Once your Team Kick-Off Call has taken place, all payments are final and non-refundable.
This is because substantial work begins immediately after the Kick-Off Call:
- We develop your custom outreach email sequence and/or content strategy collaboratively with you during the call
- We assign and brief your Virtual Assistant(s)
- VAs begin work immediately following the call
- Strategic planning and project setup are completed
7.3 Our Right to Cancel We reserve the right to cancel the Service and terminate the agreement with no refund if:
- You engage in abusive, threatening, or unethical behavior toward us or our Virtual Assistants
- You fail to respond to project communications for 5+ consecutive business days without prior notice
- You request work that violates laws, platform terms of service, or ethical business practices
- You breach these Terms & Conditions in a material way
In the event we cancel due to your breach, you are not entitled to any refund, as the cancellation is due to your actions.
8. INTELLECTUAL PROPERTY & OWNERSHIP
8.1 Your Ownership
Upon full payment and completion of the Service, you own:
- All lead lists, research, and prospect information
- All outreach templates and email sequences created for you
- All content (copy and graphics) created for you
- All strategic documents and materials developed during the Service
Limitations on Your Use:
While you own the deliverables upon full payment, you agree to:
- Use deliverables only for lawful purposes and in compliance with all applicable laws and platform terms of service
- Not use deliverables in a way that infringes on third-party intellectual property rights
- Not misrepresent the source or origin of the work
- Not remove or alter any copyright notices, attributions, or disclaimers included in the deliverables
8.2 Our Ownership We retain ownership of:
- Our proprietary processes, methodologies, and training systems
- Our brand name, logo, and marketing materials
- Template frameworks and tools we use to deliver services
8.3 Usage Rights You may use all deliverables for your own business purposes. You may not:
- Resell or redistribute the deliverables as your own products
- Claim you created the processes or methodologies we taught you
- Use our brand name to imply ongoing partnership or endorsement without permission
8.4 Portfolio & Testimonials We may request your permission to use completed work, results, or testimonials in our marketing materials, portfolio, website, case studies, or social media.
Your Choice:
- You may grant or decline this request at your sole discretion
- There is no obligation to provide permission, and declining will not affect the quality of service you receive
- If you grant permission, you may specify conditions (such as anonymizing your business name, blurring sensitive information, or limiting where/how we display the work)
If You Grant Permission:
- We will not use your full name, business name, or identifying information without your explicit consent
- We will present your information and results accurately and in context
- You may request removal of any testimonial or case study at any time by emailing us at support@theprofitsequence.com, and we will comply within 30 days
What We May Use Without Your Permission:
- Anonymized, aggregated results and statistics (e.g., "Our clients have generated over 10,000 leads" or "We've created 5,000+ social media posts")
- General descriptions of our services, processes, and methodologies that do not reveal client-specific information or work
- Educational content about strategies and techniques that do not include your identifying information or specific deliverables
Default Position: Unless you explicitly grant us permission in writing, we will NOT publicly display, publish, or share any specific work created for you, including content designs, email sequences, lead lists, project details, or results.
8.5 Subcontractors and Third-Party Services
We may use subcontractors, including Virtual Assistants, apprentices, freelancers, and third-party service providers, to complete the Service. All subcontractors are bound by written agreements that include:
- Work-for-hire provisions ensuring we (or you, as the end client) own all work product
- Confidentiality and non-disclosure obligations
- Assignment of all intellectual property rights to us and/or to you as the client
You acknowledge and agree that we may utilize subcontractors to deliver the Service, and that such use does not affect your ownership rights to the final deliverables as stated in Section 8.1.
8.6 Representations and Warranties
Our Warranty:
We warrant that:
- All deliverables are created using properly licensed tools and resources
- We have the legal right to provide the deliverables to you
- Work created by our team and subcontractors does not knowingly infringe on third-party intellectual property rights
- We have obtained necessary rights and licenses for materials included in deliverables
Warranty Limitations:
This warranty does NOT cover:
- Issues arising from your modification or misuse of deliverables
- Third-party claims based on information or materials you provided to us
- Changes to third-party platform policies or licensing terms after delivery
- Your use of deliverables beyond the scope described in these Terms
Remedy:
If any deliverable is found to infringe third-party rights due to our error, our sole obligation is to replace the infringing material with non-infringing material or refund the portion of the fee attributable to that specific deliverable. This is your exclusive remedy for any warranty breach.
9. CONFIDENTIALITY
9.1 Mutual Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the Service, including:
- Business strategies, plans, and financial information
- Client lists, prospect information, and lead data
- Proprietary processes and trade secrets
- Personal information
9.2 Virtual Assistant Confidentiality All Virtual Assistants sign confidentiality and non-disclosure agreements with us. However, you acknowledge that VAs require access to certain business information to perform their assigned work (e.g., your ideal client profile, brand messaging, outreach templates, access to dedicated email account).
9.3 Data Security
While we implement reasonable security measures to protect your information, you acknowledge that no method of electronic transmission or storage is 100% secure. You agree that we are not liable for unauthorized access to data that occurs despite our reasonable security efforts.
10. LIMITATIONS OF LIABILITY & DISCLAIMERS
10.1 Service Scope & Disclaimers
We provide lead generation research and outreach execution, and/or content creation services. We explicitly do NOT guarantee:
- Any specific number of email responses, inquiries, or interested prospects
- Any specific number of booked sales calls or consultations
- Any sales, revenue, or income from the leads or content we provide
- Any specific social media engagement, reach, follower growth, or virality
- Any specific business growth or outcomes
Success with the leads and content we provide depends on many factors outside our control, including: your offer, your pricing, your sales skills, your industry, market conditions, and your execution.
10.2 Your Responsibilities
You are solely responsible for:
- Following up with leads who respond to outreach
- Conducting sales conversations and closing prospects
- Posting and managing the content we create
- Ensuring all your business activities comply with applicable laws and regulations
- Your use of leads and content after the Service period ends
10.3 Limitation of Liability To the maximum extent permitted by law:
- Our total liability for any claims arising from the Service shall not exceed the total amount you paid for the Service
- We are not liable for any indirect, incidental, consequential, or punitive damages
- We are not liable for lost profits, lost revenue, lost business opportunities, or lost data
10.4 No Liability for Third-Party Actions We are not liable for:
- Actions taken by Virtual Assistants outside the scope of their assigned project work
- Email deliverability issues caused by spam filters, email provider policies, or recipient settings
- Social media platform algorithm changes, policy changes, or account restrictions
- Third-party tool failures, changes, or discontinuation (Gmail, Canva, Google Drive, etc.)
- Responses or actions taken by prospects who receive outreach
- How you use the deliverables after the Service period
11. PRIVACY & DATA
11.1 Data We Collect
We collect and store:
- Your contact information (name, email, phone)
- Business information you provide (ideal client description, services, brand assets)
- Communication records (emails, call recordings if consented to)
- Payment information (processed securely via Stripe; we DO NOT store full credit card details)
- Project deliverables and work product
11.2 How We Use Your Data We use your information to:
- Deliver the Service you purchased
- Communicate with you about your project
- Improve our services
- Send occasional marketing emails about our services (you may unsubscribe at any time)
11.3 Data Sharing We do not sell your personal information to third parties. We may share your information with:
- Virtual Assistants assigned to your project (only information necessary to complete their work)
- Payment processors (Stripe)
- Service providers who help us run our business (email platforms, CRM systems, file storage)
- Law enforcement or legal authorities if required by law
11.4 Your Rights You have the right to:
- Request a copy of the personal data we hold about you
- Request correction of inaccurate data
- Request deletion of your data (subject to our legal record-keeping requirements)
- Opt-out of marketing communications at any time
12. DISPUTE RESOLUTION
12.1 Good Faith Communication
If any dispute arises, both parties agree to first attempt to resolve it through direct, good-faith communication.
12.2 Mediation
If direct resolution is unsuccessful, both parties agree to attempt mediation through a mutually agreed-upon mediator before pursuing legal action.
12.3 Governing Law & Jurisdiction
These Terms are governed by the laws of New Zealand. Any legal disputes that cannot be resolved through communication or mediation must be brought in the appropriate courts of New Zealand.
13. GENERAL TERMS
13.1 Entire Agreement
These Terms & Conditions, together with your Service purchase confirmation, constitute the entire agreement between you and Ginovska Solutions Limited trading as Alter Ego Digital regarding the Service.
These Terms supersede any prior discussions, proposals, or agreements.
13.2 Modifications to Terms
We reserve the right to update these Terms occasionally. If we make material changes, we will notify you via email and post the updated Terms with a new "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
Changes to Terms do not apply retroactively to Services already purchased under previous Terms.
13.3 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
13.4 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
13.5 Force Majeure
We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet outages, or third-party service failures.
In the event of force majeure, we will make reasonable efforts to complete the Service as soon as circumstances permit, and may extend the Service timeline accordingly.
13.6 Independent Contractor Relationship
You and Ginovska Solutions Limited trading as Alter Ego Digital are independent parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
13.7 Assignment
You may not transfer or assign your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms to another entity (e.g., in the event of a business sale).
